Notice is hereby given that, on 26 May 2022, the members of the Board of Directors of Professional Services Inc. (the "Company") approved the execution of a Convertible Loan Agreement with Universal Healthcare Services PTE Ltd. (the "Investor"), which provides for the extension of a loan facility ("Convertible Loan") by the Investor amounting to Seven Billion Fifty-Nine Million Five Hundred Thousand Pesos (PHP7,059,500,000.00).
